TERMS OF SERVICE – THEMOVIEAPP

1. Introduction

1.1 These Terms of Service (the "Terms") govern your use of:

(a) the website located at https://themovieapp.co.uk, together with any subdomains, microsites, landing pages and associated content (the "Website"); and

(b) the movie discovery and recommendation service branded as "themovieapp", including any associated web, mobile or chat-based interfaces, tools, questionnaires and functionalities (together, the "Service").

1.2 The Service is owned and operated by AI EMBEDDED LTD, a private company limited by shares incorporated and registered in England and Wales with company number 16768211 and registered office at 6 Martinique Drive, Lower Darwen, Darwen, England, BB3 0SA ("AI Embedded", "we", "us" or "our").

1.3 themovieapp is a product of AI EMBEDDED LTD. These Terms apply specifically to the Service. Our corporate information and other legal documents are available at https://www.aiembedded.tech.

1.4 By accessing or using the Website or the Service, you:

(a) acknowledge that you have read and understood these Terms; and

(b) agree to be bound by these Terms in full.

1.5 If you do not agree to these Terms, you must not use the Website or the Service.

1.6 In these Terms:

"Applicable Law" means any laws, regulations or rules that apply to you or us in connection with the Service, including the laws of England and Wales.

"Effective Date" means the date you first access or use the Service.

2. What themovieapp does

2.1 themovieapp is an AI-assisted movie discovery and recommendation tool. It may:

(a) ask you questions about your mood, who you are watching with, preferred genres, themes and other viewing preferences;

(b) analyse your answers together with movie metadata and internal tagging;

(c) generate suggested films that may match your preferences; and

(d) display information about films, including descriptions, tags, ratings and links to third-party platforms.

2.2 themovieapp does not:

(a) host, stream, rent or sell films or TV shows;

(b) guarantee that any recommended film will be available on any particular platform or in your region;

(c) guarantee that you will like any recommended film;

(d) provide any form of professional advice (including legal, medical, mental health, financial or investment advice).

2.3 Information about films (including titles, overviews, ratings, images and availability) may be obtained from third-party sources. While we aim to use reputable sources, we do not guarantee that such information is accurate, complete, up to date or suitable for your particular use.

2.4 The Service may recommend content with various age ratings and themes, including content unsuitable for children. You are responsible for checking age ratings, content warnings and suitability before watching any recommended film, and for complying with any age or content restrictions under Applicable Law.

3. Eligibility

3.1 You may only use the Service if:

(a) you are at least sixteen (16) years old; and

(b) if you are under eighteen (18) years old, you use the Service with the consent and supervision of a parent or legal guardian.

3.2 By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract in your country of residence.

3.3 If you are using the Service on behalf of a business or other organisation, you represent and warrant that you are authorised to bind that entity to these Terms, in which case references to "you" and "your" include that entity.

4. Changes to these Terms

4.1 We may update these Terms from time to time. When we do so, we will:

(a) update the "Last updated" date at the top of this page; and

(b) where appropriate, provide notice on the Website and/or via email or in-Service notifications.

4.2 Your continued use of the Service following any changes to these Terms will constitute your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

5. Your account

5.1 Some parts of the Service may be accessible without creating an account. We may, however, require registration (for example, to save preferences, watchlists, history or access paid features).

5.2 If you create an account, you must:

(a) provide accurate and up-to-date information;

(b) keep your password and login credentials secure; and

(c) promptly notify us at hello@themovieapp.co.uk if you suspect unauthorised use of your account.

5.3 You are responsible for all activities carried out under your account.

5.4 If account creation via a third-party account (for example, a social login) is available and you choose to use it, you authorise us to access basic information from that third-party service in accordance with its terms and your privacy settings there.

5.5 We may suspend or terminate your account if:

(a) we reasonably believe you have breached these Terms;

(b) we suspect fraudulent, abusive or suspicious activity;

(c) your account has been inactive for a prolonged period; or

(d) we decide to discontinue the Service.

6. Licence and use of the Service

6.1 Subject to your compliance with these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Website and Service for your own personal, non-commercial use.

6.2 Except as permitted by these Terms or by Applicable Law, you must not (and must not allow any third party to):

(a) copy, adapt, modify, translate or create derivative works based on the Service or any part of it;

(b) rent, lease, sell, license, sublicense, transfer, assign or otherwise commercially exploit the Service;

(c) reverse engineer, decompile, disassemble or attempt to derive the source code, underlying models or algorithms, except where permitted by law and only after notifying us in advance;

(d) circumvent, remove or interfere with any security, usage limits, or access control mechanisms;

(e) remove or alter any proprietary notices, including copyright or trade mark notices.

6.3 We reserve all rights in and to the Website and Service not expressly granted to you in these Terms.

7. Acceptable use

7.1 You agree that you will not use the Website or Service:

(a) in any way that breaches any Applicable Law;

(b) in any way that is unlawful, fraudulent or misleading;

(c) to harass, abuse, threaten, defame or otherwise harm any person;

(d) to create, upload or share content that is hateful, discriminatory, obscene, sexually explicit (other than normal film discussion), violent, extremist or otherwise offensive;

(e) to introduce viruses, malware or other harmful code, or to attempt unauthorised access to any system or data;

(f) to conduct security testing, vulnerability scanning or penetration testing without our prior written permission;

(g) to use robots, scrapers or other automated means to access or extract data from the Service, except where expressly permitted in writing or required by law;

(h) to systematically harvest, export or reproduce metadata, tags or internal analysis with a view to creating a competing database or service;

(i) to train or improve a competing recommender system or AI model using outputs from themovieapp without a written agreement with us.

7.2 We may monitor usage to maintain and improve the Service, and to detect, prevent and respond to abuse, fraud and security threats.

8. User input and content

8.1 You may provide content to the Service, such as quiz answers, prompts, feedback, comments, lists, ratings or other information ("User Content").

8.2 You are responsible for your User Content and you confirm that:

(a) you have all necessary rights to provide the User Content;

(b) your User Content does not infringe any third party's intellectual property or other rights; and

(c) your User Content does not violate any law or these Terms.

8.3 As between you and us, you retain ownership of your User Content.

8.4 You grant AI Embedded and its affiliates a worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable licence to use, host, store, reproduce, display, adapt, analyse and otherwise process your User Content:

(a) to operate and provide the Service;

(b) to maintain, secure and troubleshoot the Service;

(c) to improve and develop the Service and underlying models, recommendation logic and taxonomies; and

(d) in aggregated and/or de-identified form, for analytics, research and product development.

8.5 Where we explicitly state in documentation or a separate agreement that certain data will not be used for training or improvement, that commitment applies to that specific data.

8.6 We may, but are not obliged to, review, moderate, edit or remove User Content that we reasonably consider to be in breach of these Terms or Applicable Law.

9. Intellectual property

9.1 As between you and us, AI Embedded (and/or its licensors) owns all intellectual property rights in and to:

(a) the Website and Service;

(b) the underlying software, AI models, recommendation logic, taxonomies, mood tags and other analysis;

(c) the designs, branding, logos and look-and-feel of themovieapp; and

(d) any content we create or provide in themovieapp, excluding your User Content and third-party content.

9.2 Third-party trademarks, logos, posters, stills and other materials are the property of their respective owners and are used for identification and descriptive purposes only. No affiliation or endorsement by those third parties is implied.

9.3 Nothing in these Terms grants you any rights to use our trade marks, names or logos except as necessary to use the Service in accordance with these Terms.

10. Third-party content and links

10.1 The Service may display or use:

(a) information obtained from third-party movie databases or APIs;

(b) ratings, reviews or opinions from third-party sites;

(c) links to streaming platforms, cinemas, ticketing or other third-party websites or services.

10.2 We do not control and are not responsible for:

(a) the accuracy, completeness or legality of any third-party content;

(b) the availability, catalogue, region restrictions or pricing of any streaming or third-party service;

(c) the content, policies or practices of third-party websites or services.

10.3 Your use of third-party services is subject to their own terms and privacy policies. We are not a party to those agreements.

11. Fees and subscriptions

11.1 themovieapp may be offered:

(a) free of charge;

(b) on a freemium basis (free tier plus premium features); or

(c) via paid subscriptions or one-off purchases.

11.2 If you purchase any paid features or subscriptions:

(a) the price, currency, billing period and key terms will be displayed at the point of purchase;

(b) payments will be processed by a third-party payment provider;

(c) we do not store full payment card details on our own systems.

11.3 Unless otherwise stated:

(a) fees are exclusive of VAT or any similar taxes, which may be added where Applicable Law requires;

(b) all paid amounts are non-refundable except where required by law or expressly stated otherwise.

11.4 Subscriptions may automatically renew at the end of each billing period unless you cancel in accordance with the instructions provided in your account or on the Website.

11.5 We may change our prices and subscription plans from time to time. We will give you reasonable notice of any price changes that affect an ongoing subscription, and the new price will apply from the start of your next billing period. If you do not agree to the change, you can cancel before the change takes effect.

12. Availability and changes to the Service

12.1 We aim to keep the Service available and running smoothly, but we do not guarantee:

(a) that the Service will be uninterrupted or error-free;

(b) that any specific feature will continue to be available;

(c) that all recommendations, metadata or links will always be accurate or up to date.

12.2 We may, at any time, without liability:

(a) modify or update the Service;

(b) remove or change features;

(c) suspend or discontinue all or part of the Service.

12.3 We may offer certain features as beta, preview or experimental. These may be less stable and subject to change or removal at any time.

13. Disclaimers

13.1 The Website and Service are provided "as is" and "as available".

13.2 To the fullest extent permitted by Applicable Law, we:

(a) exclude all warranties, conditions and representations, whether express or implied, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement;

(b) do not guarantee that the Service will meet your expectations or that any recommendations will be suitable for you;

(c) do not guarantee that the Service will be secure, free from bugs, viruses or other harmful components.

13.3 You are solely responsible for your decisions about which films to watch and for checking age ratings, trigger warnings, content descriptions and local legal restrictions.

13.4 Nothing in these Terms is intended to affect any statutory rights you may have as a consumer under Applicable Law, which cannot be limited or excluded.

14. Limitation of liability

14.1 Nothing in these Terms limits or excludes any liability that cannot be excluded or limited under Applicable Law, including liability for:

(a) death or personal injury caused by our negligence;

(b) fraud or fraudulent misrepresentation.

14.2 Subject to clause 14.1, we shall not be liable for:

(a) loss of profits, revenue, business, contracts or anticipated savings;

(b) loss of goodwill or reputation;

(c) loss or corruption of data;

(d) loss of opportunity;

(e) any indirect or consequential loss or damage.

14.3 Subject to clauses 14.1 and 14.2, our total aggregate liability to you arising out of or in connection with these Terms and your use of the Service (whether in contract, tort, including negligence, breach of statutory duty or otherwise) shall be limited to the greater of:

(a) £50 (fifty pounds sterling); or

(b) the total amount of fees you have paid us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

14.4 Different limitations and exclusions of liability may apply to liability arising from the supply of any separate paid products or services, which will be set out in the applicable terms for those products or services.

15. Indemnity

You agree to indemnify and hold harmless AI Embedded, its directors, officers, employees and contractors from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your breach of these Terms;

(b) your misuse of the Service;

(c) your User Content, including any claim that it infringes third-party rights or violates Applicable Law.

16. Term, suspension and termination

16.1 These Terms apply from the Effective Date (the date you first use the Service) and continue until terminated in accordance with this clause.

16.2 We may suspend or terminate your access to the Service (in whole or in part) if:

(a) you materially or repeatedly breach these Terms;

(b) your use poses a security, technical or legal risk;

(c) we are required to do so by law, a court or a regulator; or

(d) we decide to discontinue themovieapp.

16.3 You may stop using the Service at any time. If account deletion tools are available, you can use them; otherwise you may contact us to request account closure.

16.4 On termination for any reason:

(a) all rights granted to you under these Terms will cease;

(b) you must stop using the Service;

(c) provisions which by their nature should survive (including intellectual property, limitation of liability, indemnity, governing law and jurisdiction, assignment and miscellaneous provisions) will continue in full force and effect.

17. Governing law and jurisdiction

17.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

17.2 If you are a business user, you and we agree that the courts of England and Wales shall have exclusive jurisdiction.

17.3 If you are a consumer, you may also have the right to bring proceedings in the courts of your country of residence, in accordance with Applicable Law.

17.4 These Terms are drafted in English. If they are translated into another language, the English version will prevail in case of any inconsistency.

18. Assignment

18.1 We may transfer, assign or subcontract our rights and obligations under these Terms to another organisation as part of a reorganisation, merger, acquisition or asset sale, or otherwise. We will let you know if this happens where required by Applicable Law.

18.2 You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

19. Miscellaneous

19.1 Entire agreement

These Terms, together with any additional terms that expressly apply to specific features or paid services, constitute the entire agreement between you and us in relation to your use of the Service and supersede any prior agreements or understandings.

19.2 Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful or unenforceable, that provision shall, to the extent required, be deemed deleted, and the remaining provisions shall remain in full force and effect.

19.3 No waiver

Our failure or delay to exercise any right or remedy under these Terms does not constitute a waiver of that or any other right or remedy.

19.4 Third-party rights

Except as expressly stated otherwise, these Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 for any third party to enforce any term of these Terms.

19.5 Notices

We may provide notices to you by posting them on the Website, sending them by email to the address associated with your account, or by in-Service notifications. You may provide legal notices or other communications to us by writing to the postal address set out in clause 20 or by emailing hello@themovieapp.co.uk, clearly marking the subject line as a legal notice where appropriate.

19.6 Force majeure

We will not be liable for any delay or failure to perform our obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, strikes, accidents, pandemics, natural disasters, failures of telecommunications or internet services, or acts of government.
